Welcome to Kimia! These Terms of Use (“Terms”) are a legally binding agreement between you (an external Authorized User invited by one of our Customers) and Kimia Pty Ltd (“Kimia”, “we”, “us” or “our”). These Terms govern your read-only access to and use of Kimia’s AI-driven B2B SaaS platform (the “Platform”), including the AI chatbot and search interface, to view chemical product information. By accessing or using the Platform, you acknowledge that you have permission from a Kimia customer to do so and you agree to comply with these Terms. If you do not agree, you must not access or use the Platform.
Note: These Terms of Use apply only to Authorized Users invited by our Customers. If you are a Kimia Customer (a company that pays for our services) or an internal user of a Customer, your use of the Platform is subject to separate contractual terms (e.g., a Master Subscription Agreement or Terms & Conditions with Kimia), which will prevail in case of any conflict with these Terms .
1. Authorized User Access and Account Security
1.1 Eligibility and Authorization: You may use the Platform only if you are authorized by one of our Customers (typically a chemical company that is a paying client of Kimia) to access their product data on the Platform. You must be at least 18 years old (or the legal age of majority in your jurisdiction) and capable of forming a binding contract. By using the Platform, you represent and warrant that you meet these eligibility requirements and that you will only access the Platform as permitted by the Customer who invited you.
1.2 Account Credentials: You may be provided with a user account or login credentials by either the Customer or Kimia. You are responsible for maintaining the confidentiality and security of your account credentials. Do not share your username or password with any other person or entity . You agree to notify Kimia immediately if you become aware of any unauthorized access to or use of your account. You must ensure that your use of the account does not violate any security measures or impair the Platform’s stability . Kimia may suspend or disable accounts that it believes have been compromised or are being misused.
2. Permitted Use of the Platform
2.1 License to Use: Kimia grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purpose of viewing the Customer’s chemical product information and related insights for your personal or internal business purposes (as intended by the inviting Customer). This license is conditioned on your continued compliance with these Terms. Nothing in these Terms transfers any ownership of the Platform or its content to you . All rights not expressly granted to you are reserved by Kimia and its licensors.
2.2 Authorized Activities: You may use the search interface to find product data, and you may ask the AI chatbot questions relating to the chemical product information. You may, for your own internal use, view and, if necessary for internal record-keeping or research, download or print insubstantial portions of information from the Platform (e.g. a product data sheet or chatbot answer), provided that you do not remove any proprietary notices. Any such copy must remain confidential and used only within the scope permitted by the Customer and these Terms.
2.3 Compliance with Laws and Policies: You agree to use the Platform in accordance with all applicable laws and regulations. You also agree to abide by any additional Acceptable Use Policy or guidelines that Kimia may provide or post within the Platform. For example, you must not use the Platform in a manner that infringes any intellectual property or privacy rights, or that violates export control or chemical safety regulations. If any content on the Platform is marked with specific usage restrictions by the Customer (such as confidentiality or handling requirements for certain chemical data), you agree to honor those restrictions.
3. Prohibited Uses and Restrictions
You MUST NOT do any of the following when accessing or using Kimia’s Platform or any content obtained from it:
• Commercial Exploitation: Use the Platform or its content for any commercial purpose except for the internal business purpose of the Customer who invited you. You must not sell, rent, sublicense, or otherwise profit from the Platform or the information you obtain, nor use it to provide services to third parties (e.g. as part of a data service or consulting product) without Kimia’s written permission. You also may not use the Platform to build or enhance any competing product or service (for example, you may not use the AI chatbot outputs or Kimia’s data to train your own AI that competes with Kimia).
• Copying and Data Scraping: You must not copy, download, or attempt to acquire a bulk collection of data from the Platform (for instance, by using bots, spiders, crawlers, scripts or other automated tools) . Data scraping or harvesting of Kimia’s database is expressly prohibited. You may not create a separate database or dataset from the data on the Platform. Similarly, you must not publish or share significant portions of the Platform’s content to any public forum, website, or repository without authorization. (Limited sharing with colleagues within the Customer’s organization may be allowed if it is consistent with the Platform’s intended use, but any broader distribution is forbidden.)
• Reverse Engineering and Tampering: You must not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any part of the Platform, including the AI systems. Likewise, you must not attempt to bypass or undermine any technical limitations, encryption, or security measures implemented by Kimia. Any attempt to interfere with the proper working of the Platform, for example, by introducing viruses, bots, harmful code, performing denial-of-service attacks, or exploiting vulnerabilities, is strictly prohibited.
• Unauthorized Access and Sharing: You may only access the Platform through the interface and credentials provided to you. Do not attempt to access areas or data of the Platform that you are not authorized to view. Do not share your access with others who were not individually authorized – this includes sharing your login credentials or collectively using a single account by multiple individuals. Each user must have their own authorized access. You also may not transfer your account to someone else. Kimia may track login usage and institute access controls (such as IP restrictions or multi-factor authentication) to enforce this rule.
• Improper Content Use: You must not use the Platform to input or transmit any content that is unlawful, defamatory, harassing, obscene, or otherwise objectionable. Although your role is read-only (meaning you generally will not input content into the system apart from search queries or chatbot prompts), you must refrain from using the chatbot or any feature in a way that solicits or generates illegal or inappropriate content. For example, do not attempt to use the AI chatbot to generate violent, sexually explicit, or hate speech content, or to engage in any harassment. You also must not use the Platform to violate the privacy of others (e.g., do not attempt to extract personal data about individuals from the content, and do not input personal data about others without consent).
• No Rights to Data or Software: You acknowledge that all software, algorithms, databases, product information, and other content on the Platform are protected by intellectual property laws and remain the property of Kimia or its licensors. Except for the limited right to use the Platform under these Terms, you have no rights to use, exploit, or license any of Kimia’s intellectual property. You may not modify, adapt, translate, or create derivative works based on the Platform or its content, nor may you remove or obscure any copyright, trademark, or other proprietary notices.
Any violation of the above Prohibited Uses is grounds for immediate termination of your access (see Termination section) and may also subject you to legal action by Kimia or relevant rights holders. Kimia reserves the right to monitor usage and investigate any suspected breach of these Terms.
4. Content Provided on the Platform
4.1 Third-Party Product Data: The chemical product information available on the Platform is provided by third parties, namely Kimia’s paying customers (the chemical companies who use our services). Kimia does not independently verify the accuracy, completeness, or currency of the information provided by these third parties . While we expect our customers to provide accurate and up-to-date data, we make no representations or warranties that the product data you see is correct, reliable, or complete. The data may include technical specifications, safety information, pricing, availability, or other details about chemical products. Use caution and do not rely solely on this data without corroborating it with official sources or the product supplier. If you are using the information for important decisions (such as formulating a product or handling chemicals), you should verify the details through official documentation (e.g., Safety Data Sheets, technical datasheets from the manufacturer) or consult a qualified professional.
4.2 AI-Generated Content: The Platform includes an AI-driven chatbot and search assistant to help you query and interpret the product data and related chemical knowledge. Please be aware of the following disclaimers regarding AI-generated content:
• No Guarantee of Accuracy: The AI chatbot uses generative artificial intelligence to provide answers or summaries. This technology is experimental and may sometimes produce incorrect, inaccurate, or irrelevant information . Kimia does not guarantee that answers given by the AI are factually correct, up-to-date, or appropriate for your specific situation. The chatbot’s responses are intended for convenience and general information only; you should independently verify critical information before acting on it.
• No Professional Advice: Any suggestions or statements made by the AI (or derived from the product data on the Platform) are not intended as professional advice. In particular, nothing on the Platform (whether from raw data or AI output) constitutes engineering, scientific, safety, legal, or regulatory advice about chemical products. The information is provided as a general resource, and is not a substitute for advice from certified chemists, engineers, safety officers, or other qualified professionals . For example, the AI might help you find a chemical’s flash point or suitable usage, but you should consult official safety guidelines and experts before using that chemical in practice. Do not use any AI-provided content as the sole basis for making decisions regarding health, safety, legal compliance, or other high-stakes matters.
• Possibility of Offensive or Inappropriate Content: Although the AI is designed to be helpful and relevant, it may generate content that is inappropriate, biased, or offensive, or content that does not reflect the views of Kimia or the Customer. For instance, if prompted with certain inputs, the AI might produce an answer that contains errors or unintended biases. Kimia does not endorse any opinions or statements made by the AI. Such outputs do not represent Kimia’s views or advice . If you encounter any response that seems problematic or outside the scope of chemical product information, please disregard it and feel free to report it to us.
• User Responsibility: You agree that your use of the AI features is at your own risk. You are responsible for how you interpret and use the AI’s outputs. Kimia disclaims all liability for any consequences resulting from actions you take (or fail to take) based on AI-generated content. You should use your own judgment and, where appropriate, seek a second opinion or verification from authoritative sources.
By using the Platform’s AI features, you acknowledge these limitations and assume the risk of receiving potentially inaccurate or unsuitable information . If you do not agree to this assumption of risk, you should not use the AI chatbot or rely on its results.
4.3 Content Availability: Kimia may update the Platform’s content from time to time. We may add, change, or remove product information or AI features. Some content is provided by third parties and might be updated or removed at the request of the Customer or due to its own lifecycle (e.g., a chemical product being discontinued). Kimia is not responsible if any data that you had access to becomes unavailable. We also reserve the right to remove or restrict access to any content that we believe may violate law or these Terms, or to protect the rights and safety of individuals.
4.4 Feedback: If you submit any feedback or suggestions to Kimia about the Platform or its content (for example, ideas to improve features, or reports of errors), you grant Kimia a worldwide, irrevocable, royalty-free license to use and incorporate that feedback into our products and services without any obligation to you. This helps us improve the Platform. (Please note that providing feedback is optional, and this clause does not obligate you to provide any feedback.)
5. Intellectual Property Rights
5.1 Kimia’s Intellectual Property: All content and materials available on the Platform, including but not limited to software, algorithms, design elements, text, images, logos, graphics, compilations of data, and the organization and presentation of content, are the intellectual property of Kimia or its licensors. This includes any proprietary machine learning models or AI components that power the chatbot and search functions. These materials are protected by copyright, trademark, trade secret, and other intellectual property laws. Kimia retains all rights, title, and interest in and to the Platform and its components, except for any third-party content provided by Customers as described below .
You are granted a limited right to use the Platform and view its content under these Terms, but you do not acquire any ownership or intellectual property rights in the Platform itself or any of its content . You must not use Kimia’s logos or branding without our prior written consent, and you may not remove or alter any copyright or trademark notices. All Kimia trademarks (such as our company name and logo) are our property, and all other trademarks on the Platform (for example, the names of chemical products or companies) are the property of their respective owners. Nothing in these Terms gives you any license or right to use any trademark displayed on the Platform.
5.2 Customer Data and Third-Party Content: The chemical product information and related data on the Platform are provided by our Customers and may be subject to their own intellectual property rights. For example, a chemical manufacturer may own the copyright or trade secrets in their product descriptions or formulations. Kimia has agreements with its Customers that allow us to host and display their data on the Platform for permitted users. However, as an Authorized User, you are not granted any intellectual property rights to that third-party data beyond the right to view and use it as allowed under these Terms and the Customer’s authorization. You must not reuse, republish, or redistribute any such data outside of the Platform except with permission from the owner (the Customer) or as allowed by law.
If you are unsure whether a particular use of content is permitted, please err on the side of caution and contact us or the content owner for clarification. Unauthorized use of content may infringe copyright or other rights and could result in termination of your access.
5.3 No Software Acquisition: You acknowledge that you are not acquiring any software or program for your own use; you are only being given access to Kimia’s hosted Platform. Therefore, you have no rights to the software’s source code or executables, and you agree not to attempt to download or use the software outside the Platform environment. All Platform functionality is delivered as an online service.
5.4 Intellectual Property Protection: You agree to help us protect our intellectual property and that of our Customers. If you become aware of any unauthorized use of the Platform or its content (for instance, if you suspect someone is copying data or a breach of these Terms by another user), you should notify Kimia. We reserve the right to take appropriate action, including legal action, to address intellectual property infringement or misuse of our Platform.
6. Privacy and Data Protection
Your use of the Platform is also governed by our Privacy Policy, which explains what personal data Kimia collects, how we use and protect it, and your rights in relation to your personal information. We strongly encourage you to read our Privacy Policy (available on our website) to understand our privacy practices. By using the Platform, you acknowledge that you have read and understood the Privacy Policy, and you consent to the collection and use of your data in accordance with it.
6.1 Compliance with Privacy Laws: Kimia Pty Ltd is an Australian company and is bound by the Australian Privacy Principles and the Privacy Act 1988 (Cth), which govern how we collect, use, keep secure, and disclose personal information . We are committed to handling your personal data in accordance with these principles. In addition, we comply with other relevant privacy and data protection laws:
• If you are located in the European Union (EU) or European Economic Area, we adhere to the requirements of the General Data Protection Regulation (GDPR). This means, for example, that you may have certain rights to access or delete your data, or to restrict or object to how we process it, as described in our Privacy Policy . We will only process your personal data on lawful bases and will honor your rights under GDPR.
• If you are a resident of California, and to the extent the law applies, we comply with the California Consumer Privacy Act (CCPA) (as amended by the CPRA). This means you may have rights such as the right to know what personal information we collect, the right to request deletion of your data, and the right to opt-out of certain data sharing. We do not sell personal information of users. For more details on these rights and how to exercise them, please see our Privacy Policy and the contact information provided there.
By using the Platform, you agree that Kimia may process your personal data (for example, your name, email, and usage logs) in order to provide the service to you and to the Customer, and for related purposes such as security monitoring, account administration, and improvement of our services. Kimia will not access or use any personal data you might input into the Platform’s AI (e.g., if you mention any personal information in a query) for any purpose other than providing the service to you (and improving the AI model, in a manner consistent with our Privacy Policy and applicable law). Please note: We advise you not to input any sensitive personal data into the chatbot or search fields. While we strive to protect all user data, it’s best to avoid sharing sensitive information that is not necessary for using the Platform.
6.2 Data Security: Kimia implements technical and organizational measures to protect your personal information against unauthorized access, loss, or misuse, consistent with industry standards and applicable law . However, no system can be 100% secure. By using the Platform, you acknowledge that there are inherent risks in internet-based services, and Kimia cannot guarantee absolute security. In the event of any data breach affecting your personal data, we will follow applicable breach notification laws to inform affected users and take appropriate remediation steps.
6.3 Access by Customer Administrators: Please be aware that the Customer who invited you to the Platform may have certain administrative rights over the Organization workspace. They may be able to view usage logs or content of queries related to their product data. For example, if you ask the chatbot questions about the Customer’s products, the Customer’s administrators might see that activity to audit how their data is being accessed. Any such monitoring by the Customer will be governed by the agreement between Kimia and that Customer. If you have concerns about your privacy in relation to the Customer, please discuss them with the Customer (e.g., your employer or the company that gave you access).
For further details on privacy, including how to contact us with questions or requests concerning your personal data, please refer to the Kimia Privacy Policy. By accepting these Terms, you also agree to the processing of your personal data as described herein and in our Privacy Policy.
7. Disclaimers of Warranties
7.1 “As-Is” Service: **Kimia provides the Platform and all content “as is” and “as available”, without any warranty of any kind. To the fullest extent permitted by law, Kimia disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of accuracy, quality, suitability, merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will meet your requirements or achieve any intended results, or that it will be error-free, uninterrupted, or secure at all times.
7.2 No Warranty on Content: Kimia does not warrant or make any representation regarding the correctness, reliability, or completeness of any information on the Platform – this includes both the third-party product data and any AI-generated content . We also do not warrant that any defects in the Platform will be corrected or that the Platform will be free of viruses or other harmful components.
You acknowledge that information on the Platform may be out of date, incomplete, or include errors, and you agree that Kimia is not responsible for any decisions you make or actions you take based on such information. Any reliance you place on the material obtained through the Platform is strictly at your own risk.
7.3 Third-Party Services: The Platform may contain links or integrations to third-party websites or services (for example, a link to a supplier’s website or a scientific publication). These are provided for convenience only. Kimia is not responsible for any third-party content or services, and accessing them may be subject to their own terms and privacy policies. Kimia does not endorse and will not be liable for any third-party websites or services.
7.4 Experimental Technology: You understand that aspects of the Platform, particularly the AI chatbot, involve advanced and evolving technology. There is no guarantee that the AI’s performance will improve or remain consistent; results may vary, and sometimes the AI may not understand your query or may produce irrelevant responses. By using these features, you accept that outcome. We provide no warranty that any AI-generated recommendation or analysis is suitable for your needs. (Always use human judgment and, when needed, seek expert advice.)
Some jurisdictions do not allow the exclusion of certain warranties. If such laws apply to you, some of the above exclusions may not apply, and you may have rights in addition to those stated in these Terms. In such cases, any implied warranties are limited to the minimum duration permitted by law.
8. Limitation of Liability
8.1 Exclusion of Certain Damages: To the maximum extent permitted by Australian law and any other applicable law, Kimia will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Platform . This exclusion applies regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise), and even if Kimia has been advised of the possibility of such damages.
In plain terms, Kimia is not responsible for losses that are not directly caused by our breach of these Terms, or that we could not reasonably anticipate. For example, if you rely on an incorrect AI response and that causes you some business loss or personal injury, or if the Platform is unavailable at a critical time causing you inconvenience – those types of consequential or unforeseeable losses are excluded to the fullest extent allowed by law.
8.2 Cap on Liability: In addition to the above, if for any reason Kimia is found liable to you for any claim or cause of action, the maximum aggregate amount we would owe you (for all claims combined) is AUD $100. This limitation reflects the fact that you are using the Platform as a free (non-paying) Authorized User, and it represents a reasonable allocation of risk. If you are also a Customer who has a paid contract with us, different liability terms (including any agreed liability caps in that contract) may apply to you in that capacity, but those are outside the scope of these Terms. For a non-paying user, $100 is the cap on Kimia’s total liability for any and all claims arising from your use of the Platform or these Terms .
8.3 Australian Consumer Law and Non-Excludable Rights: Nothing in these Terms is intended to exclude, restrict, or modify rights which you may have under any law (including the Australian Consumer Law) which cannot be excluded, restricted, or modified by agreement. If any such law applies to you and grants you non-excludable rights (for example, certain statutory guarantees under the Competition and Consumer Act 2010 (Cth)), then to the extent Kimia is entitled under that law to limit our liability for breach of those rights, our liability is limited (at our option) to either re-supplying the services to you or paying the cost of having the services supplied again . In the context of this free service, re-supplying the service might mean allowing you to access the Platform again or correcting any issue causing a failure of the service. This Section is not intended to imply that any such consumer rights necessarily apply to your use of a business platform, but is included to ensure compliance with Australian law.
8.4 Release: To the extent permitted by law, you release Kimia and its officers, employees, agents, and affiliates from all liability arising out of or relating to your use of the Platform or the content obtained through it. If you are dissatisfied with any aspect of the Platform or these Terms, your sole and exclusive remedy is to stop using the Platform.
8.5 Basis of the Bargain: You acknowledge that Kimia is providing access to the Platform to you without charge (as an Authorized User linked to a paying Customer), and that we have set the pricing (for our Customer) and entered into this arrangement in reliance on the disclaimers and limitations of liability stated herein. These terms form an essential basis of the bargain between the parties. Absent these disclaimers and limitations, the provisions of these Terms – including the availability of the Platform to you – would be substantially different.
9. Termination and Suspension
9.1 Termination by Kimia: Kimia may suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe that: (a) you have violated any provision of these Terms (or have acted in a manner which clearly shows you do not intend to or are unable to comply with these Terms); (b) you have misused the Platform or engaged in fraudulent or illegal activities; (c) your continued access poses a security or legal risk to us, our Customers, or other users; or (d) we are required to do so by law or by a request of our Customer who invited you (for example, if the Customer instructs us to remove your access, or if their own agreement with us ends) .
In most cases, if the situation allows, we will attempt to notify you (for example, via email or within the Platform) and possibly provide an opportunity to remedy any breach, but we are not obligated to do so prior to suspension or termination in urgent or severe cases.
9.2 Termination by You: If you no longer wish to be an Authorized User or no longer agree to these Terms, you should stop using the Platform. You may also contact either the Customer who invited you or Kimia to request the deactivation of your account. (If contacting Kimia directly, please provide your account details and the Customer’s name so we can verify your access.)
9.3 Effect of Termination: Upon termination of your access for any reason:
• Immediate Cessation: You must immediately stop accessing and using the Platform. Any license granted to you under these Terms will end.
• Deletion of Data: You should delete any confidential or proprietary information you obtained from the Platform (including any substantial extracts of product data or any downloaded reports) unless you have separate permission from the owner of that data or are required by law to retain it. Kimia reserves the right to delete or disable your account and remove or anonymize any of your personal data in accordance with our Privacy Policy (noting we may retain certain data as required or permitted by law, or per our agreement with the Customer).
• Survival: Any provisions of these Terms that by their nature should survive termination (such as intellectual property protections, disclaimers, limitations of liability, governing law, and dispute resolution) will continue to apply. In particular, Sections 4 (Content Disclaimers), 5 (Intellectual Property), 7 (Warranties Disclaimer), 8 (Liability Limitation), and 10 (Governing Law) survive indefinitely.
Termination of your access does not absolve you from liability for wrongdoing during your use of the Platform, and Kimia may pursue legal action or cooperate with law enforcement if your misuse of the Platform involved unlawful conduct.
10. General Provisions
10.1 Governing Law: These Terms of Use are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles. However, if you are entitled to the benefit of any non-excludable consumer protection laws in your jurisdiction (per Section 8.3 above), you will also be protected by those laws regardless of this governing law clause.
10.2 Jurisdiction: You agree that the courts of New South Wales (and courts of the Commonwealth of Australia, as applicable, sitting in New South Wales) have exclusive jurisdiction to resolve any disputes arising out of or in connection with these Terms or your use of the Platform. You consent to the personal jurisdiction of such courts. We both agree to waive any objections to the venue of those courts, including any claim that the forum is inconvenient. (If you are accessing the Platform from outside Australia, be aware that you are still subject to Australian jurisdiction under these Terms.)
10.3 Amendments to Terms: Kimia may update or modify these Terms of Use from time to time, for example to reflect changes in our services or legal obligations. If we make material changes, and you have an active account, we will take reasonable steps to notify you (such as via email or a notification in the Platform) before the changes take effect . The latest version of the Terms will always be available on Kimia’s website (likely on the Terms of Use page). Continued use of the Platform after any updated Terms have become effective will constitute your acceptance of the new Terms . If you do not agree to the revised Terms, you should stop using the Platform and request termination of your access. It is your responsibility to check for updates to these Terms periodically.
10.4 Entire Agreement: These Terms of Use (along with any documents incorporated by reference, such as the Privacy Policy and any Acceptable Use Policy) constitute the entire agreement between you and Kimia regarding your use of the Platform as an Authorized User . They supersede any prior agreements or understandings (whether oral or written) relating to your use of the Platform, except that in the event of a conflict between these Terms and the separate contract between Kimia and the Customer, that separate contract will prevail to the extent of the conflict as it applies to the Customer’s rights and our obligations to the Customer . No oral or written information or advice given by either party shall create any additional obligations or warranty beyond those expressly stated in these Terms.
10.5 No Waiver: If Kimia fails to enforce any provision of these Terms or delays in doing so, it will not be considered a waiver of our rights. Any waiver of rights or provisions on one occasion does not mean that they are waived on any other occasion. To be effective, any waiver must be in writing and signed by an authorized representative of Kimia.
10.6 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of the Terms will remain in full force and effect. The invalid or unenforceable portion shall be deemed modified to the least degree necessary to remedy the invalidity or unenforceability, while retaining as much of the original intent as possible.
10.7 No Assignment: You may not assign or transfer any of your rights or obligations under these Terms to any other person without Kimia’s prior written consent. Any purported assignment without consent is void. 10.8 No Third-Party Beneficiaries: These Terms are for the benefit of you and Kimia (and our respective successors and assigns permitted herein). Except for the Customer who invited you (who, under the Contract with Kimia, may enforce certain terms as applicable), there are no other third-party beneficiaries to these Terms. In particular, no other user and no supplier whose data appears on the Platform has any rights under these Terms.
10.9 Relationship to Customer’s Contract: The Customer’s separate agreement with Kimia (the “Contract”) governs the provision of services from Kimia to the Customer. These Terms govern your relationship with Kimia as a user. In case of any conflict or inconsistency between the Contract and these Terms with respect to your rights or obligations, the Contract will prevail (as between Kimia and the Customer), and then these Terms . This means, for example, if the Customer’s contract says something different about data ownership or liability that affects Authorized Users, Kimia will honor the Customer’s contract first. However, you are still individually bound by these Terms in relation to Kimia. The Customer is responsible for informing you of any relevant differences in their contract that would affect your use of the Platform .
